You are responsible for ensuring that all registration information is accurate and kept up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Basic listings are free and intended for legitimate local businesses serving their community.
You must only submit accurate, current, and lawful information. Misleading, fraudulent, unlawful, or infringing content is prohibited.
You represent that you have the rights or permission to publish any Content you submit (including logos, images, and links).
LUUGO may edit, reformat, refuse, or remove any listing or Content at its sole discretion, including for quality, compliance, or safety reasons.

Trials: During the 3-month free trial, you will not be charged. Unless canceled before the trial ends, your subscription automatically continues for the remainder of the annual term and you will be billed the applicable annual price.
Renewals: Paid Services renew annually unless canceled in accordance with Section 9. Prices are listed in South African Rand (ZAR) and include/exclude taxes as applicable by law.
Changes: We may change pricing or features with reasonable prior notice. Continued use after changes take effect constitutes acceptance.

By subscribing to a Paid Service, you authorize LUUGO (or its payment processor) to charge your provided payment method for the applicable fees.
You are responsible for any applicable taxes, levies, or duties, except those based on LUUGO’s net income.
Failed payments may result in suspension or termination of Paid Services and/or listings.

Agent Registration: Agents must register, provide accurate details, and comply with all program rules and applicable laws.
Onboarding Businesses: Agents may submit Businesses for listing and associate those Businesses with their Agent account as directed by LUUGO.
Commissions: Agents may receive a percentage of sales attributable to their registered Businesses’ purchases of LUUGO Paid Services.
Commission rates, eligible sales, payment schedules, and qualification criteria will be set and communicated by LUUGO and may be updated from time to time.
Commissions are only payable for cleared, valid transactions that are not refunded or reversed.
LUUGO may withhold or adjust commissions for suspected fraud, policy violations, chargebacks, or errors.
Independence: Agents are independent contractors, not employees or partners of LUUGO. Agents may not represent themselves as having authority to bind LUUGO.
Conduct: Agents must not engage in misleading, aggressive, or unlawful sales practices; must respect privacy and consent; and must comply with all marketing, advertising, and consumer protection laws.

You retain ownership of Content you submit. By submitting Content, you grant LUUGO a non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify (for formatting), distribute, and promote such Content for operating and improving the Platform.
You warrant that your Content does not infringe any third-party rights and complies with applicable laws.

You agree not to:
Post illegal, harmful, defamatory, misleading, infringing, or obscene Content.
Impersonate others or misrepresent affiliation.
Interfere with Platform security, integrity, or availability.
Use automated means to scrape or harvest data without permission.
Post spam or engage in deceptive or fraudulent practices.
Link to malware, phishing, or unsafe websites.

Businesses: You can cancel Paid Services at any time, effective at the end of the current billing period. Trials can be canceled before they convert to a paid annual term to avoid charges.
Downgrades to the free plan take effect after the current paid term ends. Your basic listing will remain free.
Unless required by law, fees paid are non-refundable. Partial period refunds are not provided.
LUUGO may suspend or terminate services for violations of these Terms or non-payment.

We aim to keep LUUGO available and up to date but do not guarantee uninterrupted or error-free operation.
We may modify, suspend, or discontinue any feature or the Platform at any time with or without notice.

To the maximum extent permitted by law:

LUUGO and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill.
Our total liability for any claims relating to the Platform will not exceed the greater of: (a) the amount you paid to LUUGO for the Paid Service in the 12 months preceding the claim; or (b) R1,000.

You agree to indemnify and hold harmless LUUGO and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your use of the Platform or Paid Services;
Your Content or listings;
Your violation of these Terms or applicable law; or
For Agents, your conduct in onboarding or representing Businesses.

Our handling of personal information is described in the LUUGO Privacy Policy. By using the Platform, you consent to our data practices.
You are responsible for obtaining any necessary consents from individuals whose personal data you submit to the Platform.

The Platform, including its design, software, trademarks, and content (excluding user-submitted Content), is owned by or licensed to LUUGO and protected by law.
You may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform except as expressly permitted by these Terms.

The Platform may contain links to third-party websites. We do not control and are not responsible for their content, policies, or practices. Access them at your own risk.

By creating an account, you consent to receive service-related communications (e.g., account, billing, and product notices).
You may opt in or out of marketing communications as permitted by law and our Privacy Policy.

Trials provide access to specific Paid Services at no charge for the stated period.
If you do not cancel before the trial ends, you authorize LUUGO to charge for the annual fee to continue the service.
We reserve the right to end or modify trials at any time.

We may suspend or terminate your access if we believe you violated these Terms, created risk, failed to pay, engaged in fraud, or for other lawful reasons.
Upon termination, your license to use the Platform ends, and certain sections of these Terms that by their nature should survive will survive (e.g., payments due, IP, indemnity, limitations of liability).

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., by posting on the Platform or via email). Continued use after changes become effective constitutes acceptance of the updated Terms.

These Terms are governed by the laws of South Africa, without regard to conflict of laws rules.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in South Africa, unless otherwise required by law.
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting LUUGO and allowing 30 days for resolution.

You may not assign or transfer your rights or obligations under these Terms without LUUGO’s prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a right is not a waiver of future enforcement.

These Terms, together with any policies referenced herein (including the Privacy Policy) and specific program terms (including Agent Program terms communicated to Agents), constitute the entire agreement between you and LUUGO regarding the Platform.
